1. Agreement to Terms
Welcome, and thank you for choosing BV Circuits (“we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our Website (https://bvcircuits.com) and Services, including our AI-based schematic analysis tool. By accessing and using our Website and Services you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the website.
2. Services Description
BV Circuits provides:
- AI-powered analysis of user-uploaded electronic schematics
- Generation of diagnostic reports identifying design issues, errors, or inefficiencies
- Educational content related to hardware design
- Online calculation tools for engineering applications
3. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:
3.1 General Eligibility
- If acting on behalf of a company, you are authorized to bind that entity
- You are legally permitted to use the Service
- Your use complies with all applicable laws and regulations
3.2 Sanctions and Export Compliance
You may not use the Website or Services if you are located in, or acting on behalf of, any person or entity located in a country or territory subject to U.S. or Israeli government embargoes, sanctions, or trade restrictions.
You also may not use the Service if you are listed on any U.S. or Israeli government list of prohibited or restricted parties.
By using the Service, you represent and warrant that you are not subject to such restrictions and that your use complies with all applicable export control and sanctions laws.
4. User Accounts
To access certain features, you may need to register for an account. You agree to:
- Provide accurate and updated information
- Maintain the confidentiality of your login credentials
- Be responsible for all activity under your account
- Notify us immediately at [email protected] of any unauthorized access
5. Uploaded Content
By uploading schematics or other data (“Your Content”), you grant BV Circuits a limited, non-exclusive, royalty-free license to store, process, and display the Content in accordance with our Privacy Policy.
You affirm that:
- You have all necessary rights to upload the content
- Your Content does not violate any laws or third-party rights
6. Intellectual Property Rights
6.1 Our Content
All software, algorithms, tools, and other materials used to provide the Service are the exclusive property of BV Circuits and subject to our Copyright Information.
6.2 User Content
You retain full ownership of Your Content. All schematics and uploaded data to the AI analysis tool are treated as confidential. We do not claim ownership, but may use it as outlined in our Privacy Policy.
7. Acceptable Use
You agree not to:
- Use our services for any illegal purposes
- Attempt to gain unauthorized access to any portion of the website
- Interfere with or disrupt the operation of our services
- Reverse engineer or decompile our tools, calculators, and Services
- Upload harmful, offensive, or infringing materials
- Scrape or collect data from our website without permission
- Use the Service, Reports, or Outputs to develop, train, benchmark, validate, or improve any competing product or service, including any artificial intelligence, machine learning, or automated schematic analysis or validation system
- Use the Service for high-risk applications (e.g., medical, aviation, nuclear systems, transportation, critical infrastructure, life safety systems)
- Share access to paid services, subscription benefits, or allocated coins with other users without authorization
8. Payment and Refund Policy
8.1 Payment Terms
BV Circuits offers subscription-based access to some features of the Service under different plans (“Subscription Plans”), as described on the Pricing page. Each Subscription Plan provides a monthly allocation of virtual credits (“coins”) used to initiate schematic analyses based on schematic size and analysis mode.
Subscription fees are billed in advance on a monthly basis and renew automatically unless cancelled.
8.2 Coin Usage and Rollover
Each analysis consumes coins according to the size of the uploaded schematic (currently 1 coin per up to 350 pins). The required number of coins is always displayed before an analysis is started.
Unused subscription coins roll over from month to month up to the limit defined by the user’s Subscription Plan. Upon cancellation, unused subscription coins remain available until the end of the current billing cycle and then expire.
Coins purchased under the legacy individual coin model prior to February 1, 2026 (“Legacy Coins”) do not expire and remain available in the user’s account. Legacy Coins are consumed only after subscription coins are exhausted.
Subscription prices may change with reasonable notice prior to renewal.
8.3 Plan Changes
Users may upgrade or downgrade their Subscription Plan at any time. Changes will take effect at the beginning of the next billing cycle. The current plan and its features remain active until the renewal date.
8.3 Cancellation
Users may cancel their subscription at any time. Cancellation will take effect at the end of the current billing period. No partial refunds are provided for unused subscription time. Any unused subscription coins will expire at the end of the billing cycle.
8.4 Refunds
If a verified technical issue prevents an analysis from completing successfully, the system will automatically restore the used coin(s) to the user’s account.
In cases where coins are deducted incorrectly, not delivered, or unusable due to a confirmed technical malfunction, BV Circuits will, at its sole discretion, restore the affected coins or refund the corresponding subscription charge.
Requests for review of such cases must be submitted to [email protected] within 14 days of the transaction.
We are not responsible for user errors, unused coins or subscription periods, dissatisfaction with analysis results, or expected AI inaccuracies or limitations. Our responsibility is limited to refunding or restoring coins in cases of verified technical failure.
9. No Warranty
The Service is provided “AS IS” and “AS AVAILABLE” without any warranties, including
- Implied warranties of merchantability or fitness for a particular purpose
- That the Service will be error-free or uninterrupted
- That results will be accurate or suitable for production
Use of the Service is at your own risk.
Reports generated from your uploads are your property. These reports are automatically generated using AI models and are provided for informational and design-support purposes only. They do not replace a professional engineering review. Due to the nature of AI, results may contain errors or oversights. You are solely responsible for reviewing and validating all reports before use.
Under no circumstances should the Service be used in place of certified engineering verification, especially in high-risk or safety-critical systems.
BV Circuits disclaims any responsibility for design flaws, faulty circuits, or other outcomes resulting from reliance on these reports.
10. Limitation of Liability
To the fullest extent permitted by law, BV Circuits shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our Services. We are not responsible for downtime, delays, errors in AI output, actions by third-party providers, or misuse of your account. We are also not liable for lost data, unless caused by our gross negligence or willful misconduct. Our total liability for any claims related to the Services will not exceed the amount you paid us in the 12 months before the claim.
11. Termination
We may suspend or terminate your access at any time, with or without notice, if:
- You violate these Terms
- Your use poses a security or legal risk
- We discontinue the Service
- You choose to delete your account
12. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. We will notify users of major changes (e.g., by email or notice on the site). Continued use after changes means acceptance.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.
If a dispute arises:
- Both parties agree to attempt resolution through good faith negotiation
- If unresolved, the matter will be brought exclusively before the courts of Tel Aviv, Israel
- Nothing in this clause prevents BV Circuits from seeking urgent legal relief
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with the Privacy Policy and the Copyright Information, form the complete agreement between you and BV Circuits.
14.2 No Waiver
A failure to enforce any provision is not a waiver of that provision.
14.3 Electronic Communications
By using the Service, you agree to receive communications from us electronically, including legal notices and reports.
14.4 Severability
If any provision is found unenforceable, the remainder will remain in effect.
